Terms of Service

The short version. Toolfyt is a set of browser-based tools. Use them lawfully, don't resell them as your own, and understand that the documents and figures they produce are your responsibility to check. Toolfyt is operated by Rasas Digital.

1. Who we are

Toolfyt ("we", "us", "our") is a product operated by Rasas Digital ("the Operator"). These Terms of Service ("Terms") govern your access to and use of the Toolfyt website and every tool available on it (together, "the Service").

By using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

The Service consists of client-side utilities for freelancers, developers and creators. Every tool runs entirely in your browser: documents, conversions and calculations are performed on your device and are not transmitted to us.

Because the Service is a set of general-purpose utilities, it is not a substitute for professional advice. In particular:

The invoice, quotation and service agreement templates are starting points, not legal advice. Have a qualified lawyer review any contract before you rely on it for a material engagement.
Token and cost estimates in the AI Prompt Context Cleaner are calibrated approximations, not the output of any specific model's tokenizer.
Payment gateway rates, benchmark engagement rates and tax figures are illustrative and dated. Confirm current figures with your provider, your accountant, or the relevant authority before acting on them.

3. Your account and your data

Most of the Service requires no account. Any drafts, saved versions or preferences are stored in your own browser's local storage, on your device. You are responsible for exporting anything you would not want to lose: clearing your browser data removes it permanently, and we hold no copy to restore.

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.

4. Toolfyt Pro, billing and renewals

Certain features ("Pro") require payment. Pro is available as a monthly plan (US$7 per month) or an annual plan (US$59 per year), or at the prices shown at the time of purchase.

Paddle is the merchant of record for all purchases. Paddle Software Ltd ("Paddle") acts as the reseller of the Service, handles payment processing, and calculates, collects and remits any applicable sales tax, VAT or GST. Your payment contract for the purchase is with Paddle, and Paddle's terms apply to the transaction in addition to these Terms.

Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. You may cancel at any time from the link in your Paddle receipt; cancellation stops future renewals and you retain access until the end of the period you have already paid for.

Refunds are governed by the Refund Policy.

5. Acceptable use

You agree not to:

use the Service for anything unlawful, or to produce documents that misrepresent a transaction, a tax position, or a payment;
attempt to circumvent, disable or interfere with any paid feature or entitlement check;
resell, sublicense, or redistribute the Service or its source files as your own product;
introduce malicious code, or use automated means to place unreasonable load on the site.

6. Intellectual property

The Service, including its source code, design system and written content, is owned by the Operator and protected by copyright. You receive a personal, non-exclusive, non-transferable licence to use the Service for its intended purpose.

You own everything you create with the Service. Documents, converted data and exported files that you generate are yours, and we claim no rights over them. We cannot inspect them in any case: they never reach us.

7. Availability and changes

The Service is provided on an "as is" and "as available" basis. We may add, change, suspend or withdraw any tool or feature at any time. We do not warrant that the Service will be uninterrupted or error-free.

If we make a material change to these Terms, we will update the Effective date above. Continued use after a change constitutes acceptance.

8. Limitation of liability

To the maximum extent permitted by law, the Operator shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service.

This includes, without limitation, loss arising from an error in a generated document, a miscalculated fee or tax figure, a token estimate that differs from your provider's count, or a contract template that proves unsuitable for your jurisdiction.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) US$50.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud or for death or personal injury caused by negligence.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms. Because the tools run locally, termination does not require us to delete anything — we hold nothing to delete.

10. Governing law

These Terms are governed by the laws of the jurisdiction in which the Operator is established, without regard to conflict-of-law rules. Nothing here removes any mandatory consumer protection rights you have in your country of residence.
